Stock vs. Stuff examines how the sale document, entity type, and basis drive seller and buyer tax outcomes when a business changes hands. Participants will distinguish deal forms, classify assets and compute recapture under §1231/§1245/§1250, build a side-by-side tax model, and apply §1244 and §1202 — including QSBS and the new phased exclusion rules — to negotiation strategy.
